END USER LICENSE AGREEMENT (EULA)

IMPORTANT – READ CAREFULLY: This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (either an individual or a legal entity, hereinafter referred to as “Licensee”) and Rfsignal Ltd, located in Swindon, United Kingdom (“Licensor”), for the software product RSD App, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (collectively, the “Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. LICENSE GRANT AND RESTRICTIONS

Subject to your payment of the applicable license fees (whether for the Annual Node-Locked License or the Annual Floating License) and compliance with this Agreement, Rfsignal Ltd grants you a limited, revocable, non-exclusive, non-transferable license to install and use the Software.

* 14-Day Trial: If evaluating the Software under a trial period, your license is strictly limited to 14 days. Upon expiration, the Software may lock or disable features until a valid commercial license is purchased.

* Restrictions: Except as expressly permitted by law or by Section 4 of this Agreement, you may not: (a) reverse engineer, decompile, or disassemble the Software; (b) rent, lease, lend, sell, redistribute, or sublicense the Software; or (c) modify or create derivative works based on the Software.

2. INTELLECTUAL PROPERTY RIGHTS

The Software is licensed, not sold. Rfsignal Ltd and its suppliers retain all rights, title, and interest, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights, in and to the Software. All rights not expressly granted to you in this EULA are reserved by Rfsignal Ltd.

3. DESIGN AID AND PHYSICAL VERIFICATION

The Software is strictly a mathematical simulation and design aid. Rfsignal Ltd does not guarantee that the simulated results will identically match real-world physical behavior. The Licensee is solely responsible for verifying all designs, outputs, and simulated data generated by the Software through rigorous, real-world physical prototyping and hardware testing before utilizing such designs in manufacturing, production, or commercial products.

4. THIRD-PARTY AND OPEN SOURCE SOFTWARE

The Software incorporates and utilizes certain third-party and open-source software libraries, including but not limited to PySide6, NumPy, SciPy, Matplotlib and Requests. These components are distributed under their own respective licenses (such as the GNU Lesser General Public License “LGPL” for PySide6).

Notwithstanding the restrictions in Section 1, your use of the Software is subject to those third-party licenses. Specifically regarding LGPL components, you are permitted to reverse engineer the Software solely to the extent necessary to debug modifications you have made to those specific LGPL-licensed libraries. A copy of the applicable open-source licenses can be found within the Software’s installation directory.

5. DATA PRIVACY AND TELEMETRY (GDPR / UK GDPR COMPLIANCE)

To ensure license compliance, prevent piracy, and improve the Software, Rfsignal Ltd collects and processes specific data in accordance with our Privacy Policy [https://rsdapp.com/privacy-policy/]. By using the Software, you consent to the following data collection practices:

* Licensing Data: The Software utilizes third-party licensing servers (Keygen.sh). To validate your license, the Software will transmit Personally Identifiable Information (PII) including your Email Address, IP Address, and Machine Fingerprints (such as MAC addresses and UUIDs) to our servers.

* Crash Reporting & Analytics: The Software may collect anonymous usage analytics and crash reports (including Python stack traces) to help Rfsignal Ltd diagnose bugs and improve stability.

* Opt-Out: In compliance with UK GDPR, users may opt out of non-essential telemetry (such as crash reporting and usage analytics) via the Software’s preferences menu. Licensing data required for node-locked or floating license validation is mandatory and cannot be opted out of without terminating software access.

6. SUPPORT, UPDATES, AND MAINTENANCE

Your annual license fee entitles you to use the version of the Software available at the time of purchase and any minor bug fixes released during your active subscription period. Rfsignal Ltd is under no obligation to provide ongoing technical support, custom development, or major feature upgrades unless otherwise explicitly agreed upon in a separate maintenance or support contract.

7. AUDIT RIGHTS AND TAXES

If you are purchasing a Floating License for business use, Rfsignal Ltd reserves the right to audit your usage of the Software, remotely or via self-reported usage logs, to ensure compliance with the purchased number of concurrent seats. The Licensee is solely responsible for the payment of all sales, use, value-added, or other local taxes arising from the purchase of this license.

8. TERMINATION

This Agreement is effective until terminated. Your rights under this EULA will terminate automatically without notice from Rfsignal Ltd if you fail to comply with any term(s) of this Agreement (including failure to remit payment). Upon termination of the license, you must cease all use of the Software and destroy all copies, full or partial, of the Software.

9. EXPORT COMPLIANCE

You acknowledge that the Software is subject to the export control laws and regulations of the United Kingdom, the European Union, and the United States. You agree that you will not export, re-export, or transfer the Software, directly or indirectly, to any country, individual, or entity subject to UK, US, or EU embargoes or trade sanctions. Furthermore, you explicitly agree that the Software will not be used in the design, development, production, or stockpiling of nuclear, chemical, or biological weapons, or any other prohibited weapons systems.

10. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED TO THE LICENSEE “AS-IS” AND WITH ALL FAULTS AND DEFECTS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RFSIGNAL LTD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RFSIGNAL LTD DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE WITH ANY OTHER SOFTWARE OR HARDWARE, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

11. LIMITATION OF LIABILITY AND INDEMNIFICATION

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RFSIGNAL LTD, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, MANUFACTURING COSTS ASSOCIATED WITH FAULTY HARDWARE, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF RFSIGNAL LTD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL RFSIGNAL LTD’S TOTAL CUMULATIVE FINANCIAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE ACTUAL AMOUNT PAID BY YOU FOR THE SOFTWARE LICENSE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Indemnification: You agree to indemnify, defend, and hold harmless Rfsignal Ltd and its affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your use of the Software, your violation of this Agreement, or your reliance on any simulated data generated by the Software to manufacture physical hardware.

12. GENERAL PROVISIONS

* Severability: If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

* Entire Agreement: This EULA constitutes the entire agreement between you and Rfsignal Ltd regarding your use of the Software and supersedes all prior and contemporaneous written or oral agreements between you and Rfsignal Ltd.

* Assignment: You may not assign or transfer this Agreement or any rights granted hereunder, by operation of law or otherwise, without Rfsignal Ltd’s prior written consent.

13. GOVERNING LAW AND JURISDICTION

This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in England, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

14. ADDITIONAL POLICIES By installing and using the Software, you also acknowledge that you have read, understood, and agree to be bound by our general Terms & Conditions and our Privacy Policy, which govern your broader relationship with Rfsignal Ltd.
